• Strategic, structural and organisational facilitation in the context of family wealth, succession, governance and continuity planning, where such facilitation does not constitute regulated advice;
• Assistance with the identification of suitable private banking, institutional and capital markets relationships, on a purely introductory and facilitative basis.

None of the foregoing activities constitutes regulated activity within the meaning of FSMA or equivalent legislation. BH Capital Partners does not manage assets, execute trades, hold client money, provide custody services, arrange deals in investments, advise on investments, or carry on any other activity that requires regulatory authorisation under FSMA or applicable law in any jurisdiction.

Where a client requires services that constitute regulated activities under FSMA or any equivalent legislation — including but not limited to investment advice, discretionary portfolio management, dealing in investments, arranging deals in investments, or the provision of credit — BH Capital Partners may, at its sole discretion, facilitate an introduction to or connection with an appropriately authorised and regulated third-party firm (a "Regulated Third Party").

The following terms apply to any such arrangement:

• Any regulated service will be provided exclusively by the Regulated Third Party, which will act as the client's direct counterparty in relation to all regulated activities.
• The client will be required to enter into a separate, direct contractual relationship with the Regulated Third Party, governed by that Regulated Third Party's own terms of business, regulatory disclosures, client agreements and fee arrangements.
• The Regulated Third Party will carry out its own client onboarding, client classification, suitability and appropriateness assessments, anti-money laundering ("AML") checks, know-your-client ("KYC") procedures and all other regulatory obligations applicable to it independently of BH Capital Partners.
• BH Capital Partners is not a party to, and assumes no responsibility or liability whatsoever in respect of, any contract, arrangement, transaction, engagement or relationship between the client and any Regulated Third Party.
• The regulatory protections afforded to clients of a Regulated Third Party — including access to the Financial Ombudsman Service, the Financial Services Compensation Scheme, or equivalent protections in other jurisdictions — arise solely by virtue of the client's direct relationship with that Regulated Third Party. BH Capital Partners does not afford its clients any such regulatory protections.
• BH Capital Partners does not endorse, recommend, warrant or accept any responsibility for the conduct, performance, solvency, regulatory standing or any other matter relating to any Regulated Third Party to which it may make an introduction. Clients are strongly encouraged to conduct their own independent due diligence on any Regulated Third Party prior to entering into any engagement with them.

The involvement of BH Capital Partners in any facilitated engagement with a Regulated Third Party is limited to an introductory, co-ordination or project management role and shall not be construed as constituting a regulated activity, a fiduciary obligation or the provision of investment or financial advice of any kind.
